Terms of Service & Privacy Policy
By proceeding to purchase, you agree to all Terms of Service, Privacy Policy, and related terms.
These Terms of Service and Privacy Policy (collectively, these "Terms") constitute a legally binding agreement between you (the "User", "you" or "your") and ECOISM (S), whose operating manager is LIM FS KF and which is located in Singapore (the "Provider", "we", "us" or "our"), governing your access to and use of the Japanese-Vietnamese real-time interpretation service made available at translator.ecoism.biz and any related pages, features, content, software and functionality (collectively, the "Service").
1. Definitions and Interpretation. In these Terms, unless the context otherwise requires, the following expressions shall have the following meanings: "Access Code" means the alphanumeric code issued to you upon completion of a purchase which permits time-limited access to the Service; "Session" means a single period of use of the interpretation function; "Content" means any audio, text, transcript, translation or other material transmitted, generated, processed or displayed through the Service; and "Sub-Processor" means any third party engaged by the Provider to process data in connection with the Service. Headings are inserted for convenience only and shall not affect interpretation. Words importing the singular include the plural and vice versa.
2. Acceptance of these Terms. By accessing, browsing, purchasing through, or otherwise using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, together with any additional rules, policies, or notices referenced herein or presented to you within the Service. If you do not agree with any part of these Terms, you must not access or use the Service. Your continued use of the Service following any modification of these Terms constitutes your acceptance of such modification.
3. Eligibility and Capacity. You represent and warrant that you have the legal capacity to enter into a binding contract and that you are not barred from using the Service under the laws of any applicable jurisdiction. The Service is intended for use by adults. By using the Service you represent that you satisfy all eligibility requirements, and the Provider reserves the right to refuse, suspend, or terminate access to any person at its sole discretion.
4. Nature and Description of the Service. The Service provides automated, machine-generated interpretation between the Japanese and Vietnamese languages, including speech recognition, translation, and speech synthesis, delivered through internet-connected devices. The Service is provided for general communication and convenience purposes only. The Service is not, and shall not be relied upon as, a substitute for a qualified human interpreter, and is not suitable for legal, medical, financial, emergency, governmental, or any other context in which accuracy is critical.
5. Access Codes; Issuance, Validity and Expiry. Upon successful payment, you will be issued an Access Code that is valid only for the duration, usage allowance, and validity window stated at the time of purchase. The Access Code becomes invalid and unusable upon the earlier of the expiry of its validity window or the exhaustion of its usage allowance. Time during which the Service is not actively used is not refundable, exchangeable, or transferable, and unused time confers no credit, carry-over, or entitlement of any kind.
6. Confidentiality and Non-Reissuance of Access Codes. The Access Code is displayed to you only once, at the moment of purchase. You are solely responsible for recording, storing, and safeguarding your Access Code, including by saving a screenshot or otherwise noting it down. The Provider does not retain a means of redisplaying your Access Code to you and, accordingly, lost, forgotten, deleted, or unrecorded Access Codes cannot and will not be reissued, replaced, or refunded under any circumstances. You must not share, sell, sublicense, publish, or otherwise disclose your Access Code to any third party.
7. Maximum Participants per Code. Each Access Code permits up to the maximum number of simultaneous participants stated at the time of purchase to join the associated session. Attempts to exceed that maximum will be refused by the system. The Provider may, at its discretion, vary the permitted number of participants for different products or codes without notice.
8. Modes of Use. The Service may be offered in an immediate-use mode and, where available, a reservation mode. In immediate-use mode, the Access Code is valid from the time of purchase for the stated period. In reservation mode, the Access Code is valid for the reserved time window. Availability of either mode is not guaranteed and may be limited by capacity, demand, or operational constraints at any time.
9. Fees and Pricing. The fees for the Service are those displayed on the purchase page at the time of your purchase. Prices may be displayed in both Vietnamese Dong (VND) and Singapore Dollars (SGD); any Vietnamese Dong figure is indicative only, is calculated using an approximate exchange rate that may differ from prevailing market or bank rates, and the actual charge is processed in Singapore Dollars (SGD). The Provider may change prices, exchange-rate assumptions, introduce new charges, or modify product offerings at any time and without prior notice, provided that such changes shall not affect purchases already completed.
10. Currency and Payment Method. Payment must be made in the currency and by the method made available on the purchase page. You are responsible for ensuring that the payment instrument used is valid, authorized, and sufficiently funded. Where your payment instrument is denominated in a currency other than Singapore Dollars, the converted amount and any conversion fees are determined by your card issuer or bank and are outside the Provider's control.
11. Payment Processing. Payments are collected and processed by Stripe, a third-party payment service provider, subject to Stripe's own terms and privacy policy. The Provider does not collect, receive, or store your full card number, expiry, security code, or other sensitive payment credentials. By making a payment you authorize Stripe and the Provider to process the transaction and to take such steps as are reasonably necessary to complete it.
12. Taxes, Duties and Charges. Unless expressly stated otherwise, displayed prices may be exclusive of any applicable taxes, levies, duties, or governmental charges, which shall be your sole responsibility. You are likewise responsible for any bank fees, foreign-transaction fees, or similar charges imposed by your financial institution in connection with your payment.
13. No Refunds and No Cancellation. The Service is a digital service that is made available for use immediately upon purchase. Accordingly, and to the maximum extent permitted by applicable law, all sales are final, and no refunds, returns, exchanges, cancellations, or credits are available, whether in whole or in part, including in respect of unused time, accidental purchases, change of mind, dissatisfaction with interpretation quality, or failure to record your Access Code.
14. Disputed Charges and Chargebacks. If you believe a charge was made in error, you should first review these Terms, as charges consistent with these Terms are valid and non-refundable. Initiating a chargeback, payment dispute, or reversal in respect of a charge that is valid under these Terms may result in immediate suspension or termination of your access and may be contested by the Provider with the relevant payment provider.
15. Service Availability; No Uptime Guarantee. The Service is provided on an "as available" basis. The Provider does not warrant that the Service will be uninterrupted, timely, secure, error-free, or continuously available, and does not guarantee any particular level of availability, performance, latency, capacity, or response time. The Service may be unavailable from time to time for any reason, including those beyond the Provider's control.
16. Maintenance. The Provider may, at any time and without prior notice, perform scheduled or emergency maintenance, updates, upgrades, or repairs that may temporarily suspend, limit, or restrict access to the Service. The Provider shall not be liable for any unavailability arising from such maintenance.
17. Capacity and Concurrency. Access to the Service is subject to overall capacity limits and to limits on the number of concurrent sessions and participants. During periods of high demand, access may be queued, delayed, restricted, or temporarily refused. The Provider does not guarantee that the Service will be available to you at any specific time, even where you hold a valid Access Code.
18. Network, Device and Environment Requirements. You are responsible for providing, at your own cost, a compatible device, a suitable internet connection, a functioning microphone and speaker or earphones, and a suitable environment for use of the Service. The quality and accuracy of interpretation may be materially affected by background noise, connection quality, device limitations, accents, speech clarity, and other factors outside the Provider's control.
19. Acceptable Use. You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.
20. Prohibited Conduct. Without limitation, you must not: (a) use the Service in connection with any unlawful, fraudulent, harmful, abusive, harassing, defamatory, obscene, or otherwise objectionable activity; (b) attempt to gain unauthorized access to the Service, its systems, networks, or data; (c) reverse engineer, decompile, disassemble, scrape, or otherwise attempt to derive the source code or underlying structure of the Service; (d) circumvent, disable, or interfere with any security, capacity, authentication, or usage-limit feature; (e) resell, redistribute, or commercially exploit the Service or Access Codes without authorization; or (f) use any automated means to access or use the Service except as expressly permitted.
21. Recording, Monitoring and Storage of Communications; Express Consent. You acknowledge and expressly consent that, for quality assurance, operational, support, security, and service-improvement purposes, the content of your communications through the Service, including speech-recognition results and the corresponding translations, may be recorded, monitored, transmitted, processed, and stored by the Provider and its Sub-Processors. By using the Service, you confirm that you have obtained any consent required from all other participants in your session for such recording, processing, and storage, and you agree to indemnify the Provider in respect of any failure to do so.
22. Accuracy and Reliability; No Professional Advice. Interpretation provided through the Service is generated by automated systems and may be incomplete, inaccurate, delayed, or erroneous. The Provider makes no representation or warranty as to the accuracy, completeness, reliability, or fitness of any interpretation. You must not rely on the Service where errors could cause loss, injury, or harm, and the Service does not constitute professional, legal, medical, or other advice.
23. Third-Party Sub-Processors. To provide the Service, the Provider relies on third-party services, which currently include Google Cloud Speech-to-Text and Text-to-Speech for speech recognition and synthesis, and Anthropic Claude for translation, as well as Stripe for payment processing and Google Cloud for hosting. Your use of the Service may be subject to the respective terms and privacy practices of these third parties, and the Provider is not responsible for their acts, omissions, or processing.
24. Categories of Personal Data Processed. In connection with the Service, the Provider may process the following categories of data: your Access Code and associated session identifiers; usage records such as session start and end times and duration; the audio, transcripts, and translations of your communications; referral information identifying the representative through whom you purchased; technical and connection data necessary to deliver the Service; and transaction identifiers relating to your payment (payment card details being handled solely by Stripe).
25. Purposes of Processing. The Provider processes such data for the purposes of providing, operating, maintaining, and securing the Service; verifying entitlements and enforcing usage limits; preventing, detecting, and investigating fraud, abuse, and misuse; providing support; complying with legal obligations; and improving the quality and reliability of the Service.
26. Legal Bases and Consent. Where required by applicable law, the Provider relies on your consent, the performance of the contract between you and the Provider, the Provider's legitimate interests in operating and protecting the Service, and compliance with legal obligations, as the bases for processing. By using the Service you provide such consent as may be required, including for the recording and storage described above.
27. Disclosure and Sharing of Data. The Provider may disclose data to its Sub-Processors as necessary to provide the Service; to professional advisers, auditors, or successors in connection with a business transaction; and to courts, regulators, law-enforcement, or other authorities where required by law or to protect the rights, property, or safety of the Provider, its users, or the public. The Provider does not sell your personal data.
28. International Data Transfers. Your data may be transferred to, stored in, and processed in countries other than the country in which you are located, including jurisdictions whose data-protection laws may differ from those of your jurisdiction. By using the Service you consent to such transfers, subject to appropriate safeguards where required by applicable law.
29. Data Retention. The Provider retains data for as long as necessary to fulfil the purposes set out in these Terms, to comply with legal, accounting, or reporting obligations, and to resolve disputes and enforce agreements, after which it will be deleted, anonymized, or archived in accordance with the Provider's practices and applicable law.
30. Data Security. The Provider implements reasonable technical and organizational measures designed to protect data against unauthorized access, loss, misuse, or alteration. However, no method of transmission or storage is completely secure, and the Provider cannot and does not guarantee the absolute security of any data.
31. Your Rights. Subject to and in accordance with applicable law, you may have rights to access, correct, update, or request deletion of certain personal data, to object to or restrict certain processing, and to withdraw consent. Because the Service operates on an account-free basis and Access Codes are anonymous, the Provider may be unable to identify data relating to you or to action a request where it cannot reasonably verify your identity or locate the relevant data.
32. Cookies, Local Storage and Similar Technologies. The Service and related pages may use cookies, local storage, and similar technologies for functional and operational purposes, such as remembering preferences. By using the Service you consent to such use to the extent permitted by applicable law.
33. Children and Minors. The Service is not directed to, and must not be used by, persons who are minors in their jurisdiction. The Provider does not knowingly process data relating to minors, and any such use is unauthorized.
34. Intellectual Property. All rights, title, and interest in and to the Service, including all software, designs, text, graphics, interfaces, and other materials (excluding your own communications content), are owned by or licensed to the Provider and are protected by intellectual-property laws. No right or license is granted to you except the limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.
35. Feedback. If you provide any suggestions, ideas, or feedback regarding the Service, you grant the Provider an unrestricted, perpetual, irrevocable, royalty-free right to use, exploit, and incorporate such feedback for any purpose without obligation or compensation to you.
36. Disclaimer of Warranties. To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties or conditions of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, title, and non-infringement. The Provider does not warrant that the Service will meet your requirements or that any defects will be corrected.
37. Limitation of Liability. To the maximum extent permitted by applicable law, in no event shall the Provider, its operating manager, affiliates, officers, employees, agents, or Sub-Processors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business, or opportunity, arising out of or in connection with the Service, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages. To the maximum extent permitted by law, the Provider's aggregate liability for any and all claims arising out of or relating to the Service shall not exceed the amount actually paid by you for the specific Access Code giving rise to the claim.
38. Indemnification. You agree to indemnify, defend, and hold harmless the Provider and its operating manager, affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your communications content, your breach of these Terms, your failure to obtain required consents from other participants, or your violation of any law or the rights of any third party.
39. Force Majeure. The Provider shall not be liable for any failure or delay in performance to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, epidemics, war, civil unrest, governmental action, labour disputes, power or telecommunications failures, internet disruptions, or failures or limitations of third-party services or infrastructure.
40. Suspension and Termination. The Provider may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time and without notice, where it reasonably believes you have breached these Terms, where required by law, or for the protection of the Service or other users. Termination shall not entitle you to any refund.
41. Changes to the Service and these Terms. The Provider may modify, suspend, or discontinue the Service or any part of it, and may amend these Terms, at any time. Amended Terms take effect when posted or otherwise made available, and your continued use of the Service constitutes acceptance of the amended Terms. It is your responsibility to review these Terms periodically.
42. Governing Law. These Terms and any dispute or claim arising out of or in connection with them or the Service shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-laws principles, save where mandatory consumer-protection laws of your jurisdiction of residence apply.
43. Jurisdiction. Subject to any applicable mandatory law, you agree that the competent courts of the Socialist Republic of Vietnam shall have jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or the Service.
44. Dispute Resolution. Before commencing any formal proceedings, the parties shall use reasonable endeavours to resolve any dispute amicably through good-faith negotiation. Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief.
45. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or, if it cannot be so modified, severed, and the remaining provisions shall continue in full force and effect.
46. No Waiver. No failure or delay by the Provider in exercising any right under these Terms shall operate as a waiver of that right, and no single or partial exercise of any right shall preclude any further exercise of it or of any other right.
47. Assignment. You may not assign, transfer, or sub-contract any of your rights or obligations under these Terms without the Provider's prior written consent. The Provider may assign or transfer its rights and obligations under these Terms at any time without restriction.
48. Entire Agreement. These Terms constitute the entire agreement between you and the Provider in respect of the Service and supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral, relating to their subject matter.
49. Notices. The Provider may provide notices to you through the Service or the purchase pages. The Provider's information is set out below; the Provider does not publish a public contact email address, and inquiries should be directed through the point of purchase or the representative through whom you obtained your Access Code.
50. Language. These Terms are provided in the English language. Any translation or summary provided for convenience is non-binding, and in the event of any conflict or inconsistency, the English-language version shall prevail.
51. Survival. Provisions which by their nature should survive termination or expiry of these Terms shall so survive, including without limitation provisions relating to fees already due, no refunds, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

53. Agreement and Consent. By proceeding to purchase and/or by using the Service, you acknowledge that you have read and understood, and agree to be bound by, all of the above Terms of Service and Privacy Policy and all related terms, including without limitation the no-refund policy, the non-reissuance of Access Codes, and your consent to the recording, processing, and storage of your communications.
